1. Introduction

These Terms and Conditions ("Terms") govern your use of the services provided by Gramini Consulting, a partnership firm registered under the Indian Partnership Act, 1932, operating under the brand name "Gramini Labs" ("Company," "we," "us," or "our").

These Terms apply to all visitors, users, and others who access or use our services, including the Gramini Labs website, Cre8nxt, Deep Home Automation, and any associated mobile applications ("Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Services.

2. Definitions

• "Account" means a unique account created for you to access our Services.
• "Content" means any audio, visual, or other material uploaded, created, or generated through our Services.
• "Device" means any device that can access the Services such as a computer, phone, or tablet.
• "Subscription" means a recurring payment plan for accessing premium features.
• "User" means any individual or entity using our Services.

3. Account Registration

To use certain features of our Services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your information to keep it accurate and complete
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breach

You must be at least 18 years of age to create an account. Users under 18 may only use Services with verifiable parental or guardian consent as required under applicable law.

4. Services Description

4.1 Cre8nxt

Cre8nxt is an AI-assisted music creation platform. The Service allows users to generate, edit, and export musical compositions. Content ownership and licensing depend on your subscription tier.

4.2 Deep Home Automation

Deep Home Automation provides smart home infrastructure solutions. Installation services, hardware, and ongoing support are subject to separate service agreements.

5. Subscriptions and Payments

5.1 Subscription Terms

• Subscriptions are billed in advance on a recurring basis (monthly or annually)
• Your subscription will automatically renew unless cancelled before the renewal date
• We reserve the right to change subscription prices with 30 days notice

5.2 Payment Processing

Payments are processed through third-party payment processors (Razorpay, Stripe, Apple App Store, Google Play Store). By providing payment information, you represent that you are authorized to use the payment method.

5.3 In-App Purchases

For purchases made through Apple App Store or Google Play Store:

• All purchases are final and non-refundable except as required by law
• Refund requests must be directed to Apple or Google respectively
• Subscription management is handled through your App Store or Play Store account

5.4 Cancellation

You may cancel your subscription at any time through your account settings or the respective app store. Cancellation will take effect at the end of the current billing period. No refunds will be provided for partial periods unless required by applicable law.

6. Intellectual Property

6.1 Our Intellectual Property

The Services, including all software, designs, text, graphics, logos, and other content, are owned by Gramini Consulting and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of our Services without permission.

6.2 User-Generated Content

For content you create using our Services:

• Free Tier: You receive a limited, personal, non-commercial license
• Paid Subscriptions: You retain ownership and receive a commercial license as specified in your plan

6.3 License Grant

By uploading content to our Services, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and process such content solely for providing and improving our Services.

7. Acceptable Use

You agree not to use our Services to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Create content that is defamatory, obscene, or harmful
• Distribute malware or engage in hacking activities
• Impersonate any person or entity
• Interfere with or disrupt the Services
• Collect user data without authorization
• Use automated systems to access the Services without permission
• Create content that infringes copyrights or contains unlicensed samples

8. Third-Party Services

Our Services may integrate with or link to third-party services. We are not responsible for the content, policies, or practices of third parties. Your use of third-party services is governed by their respective terms.

Third-party services include but are not limited to: payment processors, cloud storage providers, app distribution platforms (Apple App Store, Google Play Store), and analytics services.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability and fitness for a particular purpose
• Warranties that the Services will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy or reliability of content

Some jurisdictions do not allow exclusion of implied warranties, so the above exclusions may not apply to you.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRAMINI CONSULTING SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or goodwill
• Service interruption or inability to access Services
• Any conduct or content of third parties

Our total liability shall not exceed the amount paid by you for the Services in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Gramini Consulting and its partners, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Services, violation of these Terms, or infringement of any rights of third parties.

12. Termination

We may terminate or suspend your account and access to Services immediately, without prior notice, for any reason including breach of these Terms.

Upon termination:

• Your right to use the Services will cease immediately
• You may request export of your data within 30 days
• We may delete your account and content after 30 days
• Provisions that by nature should survive will remain in effect

13. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Kochi, Kerala, India.

Before initiating legal proceedings, you agree to attempt resolution through good-faith negotiation by contacting us at corporate@gramini.com.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Services at least 30 days before taking effect. Continued use of Services after changes constitutes acceptance of the modified Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements you enter into with us, constitute the entire agreement between you and Gramini Consulting regarding the Services.
